Purchase Order Terms & Conditions

PURCHASE ORDER TERMS AND CONDITIONS CONFIDENTIALITY. Supplier agrees not to disclose Galaxy Technologies and Galaxy customers’ information without prior written consent from Galaxy. Galaxy Confidential Information includes, without limitation, all data, technology, programming, specifications, materials, guidelines, drawings and other documentation relating to the product and/or program. AWARENESS. Supplier shall ensure that external provider personnel are aware of their contribution to product or service conformity, their contribution to product safety and the importance of their ethical behavior. DIGITAL PRODUCT DEFINITION/MODEL BASED DEFINITION (DPD/MBD). If use of DPD/MBD datasets is required in performance of an order, Seller shall be approved by Galaxy for DPD/MBD data use, including an acceptable survey on record at Galaxy. Seller will conform to any other DPD/MBD requirements imposed by GTC or its Customers via the Purchase Order or attachments. FLOWDOWN OF DFARS, DX, ITAR, OTHER GOVERNMENT RATINGS OR REQUIREMENTS. Any order carrying such requirements or ratings will be identified as such on the order. Seller will conform to all applicable aspects of such requirements or ratings, and understands the possible effects on material procurement, right of entry, export or employee access control, and government involvement at the Seller level. Seller will flow any such requirements or ratings to all sub-tier suppliers. Contact the Galaxy Supply Chain Management department for more information. APPROVED SUPPLIERS. Seller may not offload Galaxy work without specific written approval from Galaxy. Seller may also be required to use only sub-tiers approved by Galaxy or its customers. All applicable requirements in the purchasing documents must be flowed down to sub-tier suppliers, including key characteristics where required. CUSTOMER PORTAL/MOBILE APPLICATION. Correspondence in the customer portal or mobile applications is non-binding and for informational use only. This information and or correspondence will not supersede any agreement or standard practice between Galaxy Technologies, its suppliers, or its customers. RIGHT OF ENTRY. Seller shall allow Galaxy Technologies, its customers, and regulatory agencies right of entry into the Seller’s facilities to determine and verify the quality of work, records and material on current or previous orders. CUSTOMER FURNISHED MATERIALS. All customer furnished materials i.e. blueprint, mylar, tooling, etc. are to be returned with the product upon completion of the order. COUNTERFEIT PARTS. Supplier must plan and implement a process for the prevention of the use of counterfeit or suspect counterfeit parts or materials. This process should include traceability of parts and materials to their origin, acquiring and monitoring approved external providers, and verification, quarantine and reporting of counterfeit or suspect counterfeit parts. NON-CONFORMING MATERIAL. Supplier must notify Galaxy of any non-conforming product immediately. Galaxy may choose to reject non-confirming items, use them as is, or provide a rework solution. Cost for rework, and return shipping of non-conforming products or material will be the responsibility of the Seller. COST RECOVERY. Galaxy reserves the right to recover all incurred costs related to nonconforming product received from the responsible supplier(s). This also includes incurred costs of items where material defects are discovered during or after a subsequent Galaxy machining operation or manufacturing process. STATISTICAL TECHNIQUES. The use of statistical techniques for product acceptance is not allowed without prior written approval by Galaxy Technologies. INSPECTION, MEASURING AND TEST EQUIPMENT (IM&TE): Suppliers performing to Purchase Order(s) from Galaxy Technologies are expected to maintain a system (e.g., MIL-STD-45662 or other comparable standard) to control and calibrate IM&TE according to the Supplier capability. At a minimum, suitable calibration standards, traceable to N.I.S.T. standards, must be maintained by the Supplier, sufficient in kind and type to verify Supplier’s IM&TE is capable of performing accurate measurements to the extent necessary and ensure compliance to Galaxy Purchase Order requirements. N.I.S.T. traceable calibration/verification certification(s) must be maintained on file and available for review. CALIBRATION SERVICES ONLY. Calibration of inspection equipment shall be performed traceable to National Institute of Standards and Technology (NIST) or other national or international standards. Certificates of Calibration shall be provided with each calibration. QUALITY. The Seller shall provide and maintain an inspection/quality system which will assure that all delivered products conform to purchase contract requirements, whether manufactured or processed by the seller or an approved sub-tier supplier. The Seller shall maintain controls and perform all inspections and tests required to substantiate product conformance to drawings, specifications and other purchase contract requirements unless otherwise noted on purchasing documents. For all standards and specifications, supplier must use latest revision unless otherwise noted on the Purchase order. CERTIFICATIONS. The Supplier must ensure that individual parameters within a given specification have been met. Certifications must reflect that all applicable manufacturing and process specifications called for in the purchasing documents and engineering data have been met. This includes all referenced special process specifications. The specifications must be listed on the certification in proper sequence if specifically required on the purchasing documents. Critical sub-level referenced processes need to be certified (i.e. bake after plate, stress relieve, magnetic particle inspection, etc.) Electronic copies of certifications can be emailed to certs@galaxytool.com. RECORDS. The Seller shall maintain records of work performed for Galaxy. Records shall include the certificate of conformance OR material certificate provided to Galaxy as well as all records that substantiate the certificate. These records shall be maintained in any retrievable format for a minimum of ten (10) years. PACKING AND SHIPPING. Supplier shall prepare and pack the Goods to prevent damage and deterioration. Charges for preparation, packing, crating, and cartage are included in the price unless separately specified in the Order. SHIPMENT/DELIVERY. Shipments or deliveries, as specified in the Order, shall be strictly in accordance with: the specified quantities, without shortage or excess; the specified schedules, neither ahead of nor behind schedule; and the other requirements of this Order unless otherwise approved by Galaxy. Seller shall promptly notify Buyer in writing of any anticipated or actual delay, the reasons thereof, and the actions being taken by Seller to overcome or minimize delay. PAYMENT TERMS. Payment terms are Net 60 days unless a separate agreement has been reached and set forth on the Purchase Order. Seller will promptly submit correct and complete invoices or other agreed-upon billing communications with appropriate supporting documentation and other information reasonably required by Buyer after delivery of Products and performance of Services. Buyer may withhold payment until a correct and complete invoice or other required information is received and verified. REV 7. 3-22-21
